1. This agreement

These Terms of Service (“Terms”) are an agreement between you and Zivash Ventures LLC, 20770 US HWY 281 N STE 108-404, San Antonio, TX 78258 (“Invoizr”, “we”, “us”). They cover invoizr.com, the web app at app.invoizr.com, the client pages at pay.invoizr.com, and the Invoizr apps for iPhone, iPad and Android (together, the “Service”). They also serve as the end user license agreement for the apps.

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you use Invoizr for a business, you agree on its behalf and confirm you’re allowed to. You must be at least 18 years old.

2. What Invoizr is

Invoizr is software for creating and sending invoices and estimates, taking payments online, sending reminders and keeping records. Invoizr isn’t a bank, a payment processor or a money transmitter, and isn’t a party to any deal between you and your clients. Online payments are processed by Stripe (see section 5).

Invoizr doesn’t give tax, legal or accounting advice. Totals, taxes, reports and exports are worked out from what you enter, so check your invoices and records, and ask a professional when you need advice.

3. Your account

  • Give accurate information, and keep it up to date.
  • Keep your password and devices secure. You’re responsible for what happens in your account.
  • Tell us straight away at support@invoizr.com if you think someone else has used it.

4. Plans, free trials and renewals

Plans

Sending invoices needs a paid plan: Essentials, Plus or Premium, billed monthly or yearly. Each plan’s features and monthly invoice limit are described at invoizr.com and in the app. Prices are shown before you buy, and may include tax where it applies.

Free trial

Your first plan can start with a 14-day free trial, once per business (the App Store and Google Play also decide who can have a trial). Unless you cancel before the trial ends, your plan starts automatically and you’re charged the price shown when you started it.

Automatic renewal

Plans renew automatically at the end of each monthly or yearly period, at the then-current price, until you cancel. You can cancel any time; your plan keeps working until the end of the period you’ve paid for.

Plans bought on the web

  • Billed by Stripe to the card you give at checkout, at the start of each period (or when the free trial ends).
  • Change or cancel in the web app under Settings › Plan › Manage plan. Upgrades take effect straight away, with a prorated charge; downgrades and cancellations take effect at the end of the current period.
  • Payments are non-refundable, except where the law requires a refund. If something has gone wrong, contact us and we’ll look at it.

Plans bought in the app (App Store and Google Play)

  • Payment is charged to your Apple ID or Google account when you confirm the purchase, or when the free trial ends.
  • Your subscription renews automatically unless you turn off auto-renew at least 24 hours before the end of the current period. Your account is charged for the renewal within the 24 hours before the period ends.
  • Manage or cancel in your Apple ID’s subscription settings (Settings › your name › Subscriptions) or in Google Play › Subscriptions. Deleting the app or your Invoizr account doesn’t cancel it.
  • Any unused part of a free trial ends when you buy a subscription.
  • Refunds are handled by Apple or Google under their own policies. We can’t issue refunds for purchases made through them.

Price changes and failed payments

We’ll tell you in advance before a price change affects your plan, and you can cancel before it does. Changes to App Store and Google Play subscriptions follow their rules, which may ask you to agree first. If a renewal payment fails, you can keep sending for a short time while it’s retried; if it still fails, your plan ends and sending stops. Your drafts and records stay.

5. Online payments

To let clients pay online, you create a Stripe account through Invoizr. Payment processing is provided by Stripe and is subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (together, the “Stripe Services Agreement”). By using online payments, you agree to the Stripe Services Agreement, as Stripe may change it from time to time. You also agree to give Invoizr accurate and complete information about you and your business, and you authorize Invoizr to share it, and transaction information about your use of online payments, with Stripe.

  • Fees: each online payment carries Stripe’s fee and Invoizr’s platform fee. The combined rates are shown in the app before you turn on online payments, and are taken from the payment before it’s paid out to you.
  • Payouts are made by Stripe to your bank on Stripe’s schedule. Stripe may hold, delay or refuse payments or payouts under its own terms.
  • Refunds, disputes and chargebacks are your responsibility, including any amounts and fees Stripe charges for them.
  • Passing on card fees: if you choose to add card fees to your clients’ payments, you’re responsible for following the laws and card network rules where you and your clients are.

6. Your content and your clients

You own what you put into Invoizr: your business details, invoices, estimates, clients, photos and other content (“your content”). You give us permission to store, process, copy, send and show your content only as needed to run the Service for you, for example to email an invoice to your client or make a PDF.

You’re responsible for your content and your dealings with your clients, including that:

  • your invoices, estimates, prices and taxes are accurate and lawful;
  • you have the right to give us your clients’ details and to contact them about their invoices, estimates and reminders;
  • you follow the laws that apply to your business, such as tax, consumer protection and privacy laws.

Emails to your clients are sent from “your business via Invoizr”, with replies going to you. Don’t use Invoizr to send marketing or unwanted messages. When a client turns off reminders or an address bounces, we stop emailing it.

7. Acceptable use

Don’t use the Service to:

  • break the law, or invoice for illegal goods or services, or for businesses Stripe doesn’t allow;
  • send fake, misleading or fraudulent invoices, phishing messages, or impersonate anyone;
  • upload malware, or content that infringes someone else’s rights;
  • get around plan limits or security, access other people’s accounts, or test or attack our systems without permission;
  • copy, scrape, resell or reverse engineer the Service, except where the law allows;
  • overload the Service or interfere with other people’s use of it.

We may remove content or suspend accounts that break these rules, and we may report illegal activity.

8. Invoizr’s software

The Service, including its software, designs, templates and the Invoizr name and logo, belongs to Zivash Ventures LLC and its licensors. We give you a personal, limited, non-exclusive, non-transferable, revocable license to use the Service for your business under these Terms. If you send us ideas or feedback, we may use them without owing you anything.

9. The mobile apps

Apps from Apple’s App Store

If you got the app from the App Store, you and we also agree that:

  • These Terms are between you and Zivash Ventures LLC only, not with Apple Inc. Zivash Ventures LLC, not Apple, is solely responsible for the app and its content.
  • Your license to the app is limited to using it on Apple-branded products that you own or control, as allowed by the Usage Rules in the Apple Media Services Terms and Conditions, except that it may also be used by other accounts linked to you through Family Sharing or volume purchasing.
  • Zivash Ventures LLC is solely responsible for maintenance and support of the app, as described in these Terms. Apple has no obligation to provide any maintenance or support for it.
  • If the app fails to conform to any warranty that applies to it, you may tell Apple, and Apple will refund the purchase price, if any, of the app to you. To the maximum extent the law allows, Apple has no other warranty obligation for the app. Any other claims, losses, liabilities, damages, costs or expenses from a failure to conform to a warranty are Zivash Ventures LLC’s responsibility, to the extent these Terms don’t exclude them.
  • Zivash Ventures LLC, not Apple, is responsible for addressing any claims by you or a third party relating to the app or your possession or use of it, including product liability claims, claims that the app fails to conform to a legal or regulatory requirement, and claims under consumer protection, privacy or similar laws.
  • If a third party claims that the app or your possession and use of it infringes their intellectual property rights, Zivash Ventures LLC, not Apple, is solely responsible for investigating, defending, settling and discharging that claim.
  • You confirm that you aren’t located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a “terrorist supporting” country, and that you aren’t on any U.S. Government list of prohibited or restricted parties.
  • You must follow any third-party terms that apply when you use the app, such as your mobile data provider’s.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms. Once you accept them, Apple has the right (and is deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
  • Questions, complaints or claims about the app go to Zivash Ventures LLC at the contact details in section 17.

Apps from Google Play

If you got the app from Google Play, the Google Play Terms of Service also apply to downloading it and buying subscriptions in it. Google isn’t responsible for the app or for support.

Updates

We may release updates to the apps. Some features may need the latest version to keep working.

10. Ending your account

You can stop using Invoizr and delete your account at any time, in the app (More › Delete account) or on the web (Settings › Account). Download any PDFs or reports you need first. Deleting cancels a plan bought on the web; cancel an App Store or Google Play subscription in the store. See our Privacy Policy for what’s deleted.

We may suspend or close your account if you seriously or repeatedly break these Terms, if your account puts our users, clients or Stripe at risk of fraud or harm, if the law requires it, or if your plan stays unpaid. Where it’s reasonable, we’ll warn you first and give you a chance to fix the problem and download your records. Sections 5 to 8 and 11 to 16 continue to apply after your account ends.

11. Disclaimers

The Service is provided “as is” and “as available”. To the maximum extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We don’t promise that the Service will be uninterrupted or error-free, that emails will be delivered or opened, or that your clients will pay.

Some places don’t allow these exclusions, so some of them may not apply to you.

12. Limits on liability

To the maximum extent the law allows, Zivash Ventures LLC and its owners, employees and suppliers won’t be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from or relating to the Service, even if we were told they were possible. Our total liability for all claims relating to the Service is limited to the greater of the amount you paid Invoizr in the 12 months before the claim and US $100.

Nothing in these Terms limits liability that can’t be limited by law, such as for fraud, or for death or personal injury caused by negligence.

13. Indemnity

To the extent the law allows, you’ll defend and compensate Zivash Ventures LLC against claims, losses and costs (including reasonable legal fees) brought by third parties, including your clients, that arise from your content, your invoices or dealings with your clients, or your breaking these Terms or the law.

14. Disputes and governing law

If you have a problem, please contact us first at support@invoizr.com. We’ll try to resolve it informally within 30 days.

These Terms are governed by the laws of the State of Texas and the United States, without regard to conflict of laws rules. Any dispute that isn’t resolved informally will be decided only in the state or federal courts located in Bexar County, Texas, and you and we consent to those courts. Either of us may instead bring an individual claim in small claims court. If you’re a consumer in a country that gives you the right to bring claims in your own courts or under your own laws, these Terms don’t take that right away.

15. Changes to the Service and these terms

We improve Invoizr all the time and may add, change or remove features. If we remove a major feature of a paid plan, we’ll tell you first.

We may update these Terms. We’ll post the new version here and update the date at the top. If a change is significant, we’ll tell you by email or in the app at least 14 days before it takes effect. If you keep using the Service after that, you accept the new Terms; if you don’t agree, you can cancel and delete your account.

16. General

  • These Terms and the Privacy Policy are the whole agreement between you and us about the Service.
  • If part of these Terms can’t be enforced, the rest still applies.
  • If we don’t enforce a right straight away, we haven’t given it up.
  • You can’t transfer these Terms without our permission. We may transfer them as part of a merger, acquisition or sale of our business.
  • We aren’t responsible for delays or failures caused by events beyond our reasonable control, such as outages at our providers, natural disasters or acts of government.
  • We may send notices to the email address on your account or show them in the app. Send notices to us at the address below.
